REPORT OF VOTING RESULTS

MISSISSAUGA, ON, Oct. 14 /CNW/ - Pursuant to section 11.3 of National Instrument 51-102 - Continuous Disclosure Obligations, this report describes the matters decided at the 2010 Annual and Special Meeting of Unitholders of Second Cup Income Fund (the "Fund") held on Wednesday, June 2, 2010.

1. Election of Trustees

By a resolution passed by a vote by show of hands, the following nominees were elected by acclamation as trustees of the Fund to serve a term expiring at the conclusion of the next annual meeting of the unitholders of the Fund or until they resign, are removed or cease to be qualified to act as trustees:

Michael Rosicki
Raymond Guyatt
Bryna Goldberg
Edward T. McDermott
James Anas

2. Appointment of Auditor

By a resolution passed by a vote by show of hands, PricewaterhouseCoopers LLP was appointed as the auditor of the Fund until the next annual meeting of the unitholders of the Fund or until its successor is appointed and the trustees of the Fund were authorized to fix the remuneration of such auditor.

3. Special Resolution to Approve Plan of Arrangement

The special resolution set forth in Appendix "A" of the Management Information Circular of the Fund dated April 26, 2010 to approve a plan of arrangement under Section 182 of the Business Corporations Act (Ontario) involving the reorganization of the Fund's income trust structure into a public corporation to be named "The Second Cup Ltd" and all transactions contemplated thereby was approved as a special resolution by a vote held by ballot.
